Terms of Service

These Terms govern your use of Leadmeadow. By creating an account or using the service in any way, you accept these Terms. If you do not agree, do not use the service.

We have written these in plain language because we would rather you actually read them. Where a clause has a real legal consequence, we have tried to spell it out clearly instead of hiding it in legalese.

1. The service

Leadmeadow is a software-as-a-service platform that helps small businesses respond to and convert leads on WhatsApp. The service includes an AI agent that composes replies on your behalf, a dashboard for reviewing leads and conversations, automatic follow-ups for leads who go quiet, and integrations with the WhatsApp Business Cloud API and inbound lead webhooks.

We may add, change, or remove features over time. We will not remove a feature you are actively relying on without giving you reasonable notice.

2. Who can use Leadmeadow

  • You must be at least 18 years old.
  • You must be acting on behalf of a real business and have authority to bind that business to these Terms.
  • You must be permitted to use Meta's WhatsApp Business products in your country and not be on any sanctions list that would prohibit us from providing service to you.

3. Your account

You are responsible for keeping your password secret, for everything that happens under your account, and for the accuracy of the information you give us. If you suspect your account has been compromised, log out (which immediately revokes every existing session) and write to leadmeadow.help@gmail.com right away.

You may not share your account with other people. If multiple people in your business need access, contact us and we will help.

4. How you must use the service

You agree that you will not:

  • Send unsolicited or spam messages, or use Leadmeadow to message anyone who has not opted in to hearing from your business.
  • Violate WhatsApp's Business Messaging Policy, Meta's WhatsApp Business Solution Terms, or any applicable anti-spam law (including the US TCPA, Canada's CASL, the UK/EU PECR and GDPR, India's TRAI DND rules, UAE TDRA rules, and any equivalent rule in your leads' jurisdictions). See §9 for the full allocation of responsibility for your WhatsApp account status.
  • Send messages that are harassing, defamatory, deceptive, illegal, sexually explicit, or that would be illegal to send in the recipient's jurisdiction.
  • Try to circumvent the message quotas tied to your plan, or attempt to redeem invalid or already-used codes.
  • Probe, scan, brute-force, or otherwise attempt to compromise the service or any other Customer's data. (Genuine security research is welcome — write to us first.)
  • Scrape, mirror, or republish the service or its content, or use any automated agent on the dashboard other than those we provide.
  • Use the service to build a competing product, or to train a machine learning model on data you accessed through Leadmeadow.
  • Resell, sublicense, or grant access to the service to anyone else without our written permission.

If you violate these rules we may suspend or terminate your account without refund and report serious violations to the relevant authorities.

5. Your data and your leads

You own the lead data, conversation history, and business information you put into Leadmeadow. We claim no ownership over any of it. We process it on your behalf so the service can work, as described in the Privacy Policy.

You are responsible for ensuring you have the legal right to enter your leads' phone numbers and personal information into Leadmeadow, and for ensuring your messaging complies with the privacy and consumer-protection laws that apply where your leads live.

6. AI-generated replies

The AI agent composes replies based on the business information you provide and the conversation so far. It is a Large Language Model and it can be wrong. It can misquote your prices, invent services you do not offer, or misunderstand a customer's question. You are responsible for the messages sent on your behalf.

We strongly recommend reviewing your business information regularly, watching new conversations during your first weeks of use, and not relying on Leadmeadow for legally consequential statements (medical advice, legal advice, financial advice, contract terms, etc.).

7. Subscription, billing, and cancellation

  • Leadmeadow is offered on two paid plans: Pro (500 AI messages per month) and Max (1,500 AI messages per month). Plan and price information is shown on the landing page.
  • Your message counter resets monthly from the date your subscription began.
  • Subscriptions renew automatically at the end of each billing period unless you cancel beforehand.
  • You can cancel at any time. Cancellation stops future renewals; the current period continues until its end date.
  • Except where the law requires otherwise, fees already paid are non-refundable, including for partial months and unused message quota. If you believe you have been charged in error, write to us and we will work it out.
  • If you exceed your monthly message quota, the AI will stop responding until the quota resets or you upgrade. Inbound webhooks and the dashboard remain accessible.

8. Service availability

We work hard to keep the service running, but we do not currently offer a formal uptime guarantee. The service is provided on a commercially reasonable best-effort basis. We may need to take it offline occasionally for maintenance, security patches, or upgrades; we will try to give notice when we can.

The service depends on third-party platforms (Meta's WhatsApp Cloud API and our AI provider's API) that may themselves have outages. We are not responsible for failures caused by those upstream platforms.

9. WhatsApp account status, quality ratings, and suspensions

Leadmeadow is a thin software layer on top of Meta's WhatsApp Business Cloud API. Your WhatsApp Business Account, your phone number, your message templates, your display name, your quality rating, and your messaging tier are owned and controlled by Meta, not by Leadmeadow. We do not make, review, influence, or control Meta's decisions about your account.

You acknowledge and agree that:

  • We do not guarantee deliverability. Whether a given message is delivered, throttled, rate-limited, flagged, blocked, or silently dropped is decided entirely by Meta and WhatsApp's infrastructure.
  • We do not guarantee your account will remain in good standing. Meta can downgrade your quality rating (green / yellow / red), lower your messaging tier, restrict your template categories, flag you as spam, disable your phone number, disable your WhatsApp Business Account, or ban it permanently — at Meta's sole discretion, for reasons Meta may or may not disclose, and often with no prior warning.
  • You are solely responsible for obtaining opt-in consent from every lead you add to Leadmeadow, for retaining proof of that consent, for honouring opt-out requests, for respecting quiet hours, and for complying with every consumer-protection and anti-spam law that applies to your leads. The consent checkboxes and webhook consent field in the service are an attestation by you — Leadmeadow relies on your attestation and does not independently verify it.
  • You are solely responsible for your message content, including AI-generated content (see §6), pre-approved WhatsApp templates you submit to Meta, and any free-form messages sent from within or outside the 24-hour customer-service window.
  • You are solely responsible for your own Meta / WhatsApp Business Manager set-up, including business verification, display name approval, template submission and approval, webhook subscriptions (including the quality-rating webhook), access tokens, and any Meta app-review requirements that apply to your use case.
  • Any features in Leadmeadow that pause sending on quality-rating changes, enforce consent checkboxes, or route follow-ups through templates are risk-reduction aids, not guarantees. They reduce the likelihood of suspension but do not eliminate it, and their correct operation depends on you configuring your Meta account correctly.

If Meta throttles, suspends, disables, or bans your WhatsApp Business Account, phone number, templates, or messaging tier — for any reason, at any time, with or without notice — that is a matter strictly between you and Meta. Leadmeadow has no obligation and no ability to reverse, appeal, expedite, compensate for, or mitigate such actions. You will not be entitled to any refund, credit, service-level remedy, damages, or other compensation from Leadmeadow on account of Meta's decisions about your account, and you will not hold Leadmeadow responsible for loss of leads, revenue, goodwill, or business continuity that results from them. This allocation of responsibility is a material part of the bargain under these Terms and is reflected in the pricing of the service.

You further agree that if a claim, complaint, fine, regulatory action, or lawsuit is brought against Leadmeadow by Meta, by a telecom regulator, by a consumer-protection authority, or by a recipient of one of your messages, and it arises out of or relates to your messaging activity, your consent practices, your content, or your WhatsApp account configuration, you will fully defend and indemnify Leadmeadow as set out in §13.

10. Termination

You can stop using the service at any time and close your account. We can suspend or terminate your account if you materially breach these Terms, if your use puts the safety or stability of the service at risk, or if we are legally required to do so. Where reasonable, we will warn you first.

On termination, we will delete your data on the schedule described in the Privacy Policy. Provisions of these Terms that by their nature should survive termination (ownership, disclaimers, liability limits, governing law) will survive.

11. Disclaimers

The service is provided “as is” and “as available”. To the maximum extent permitted by law, Leadmeadow disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that defects will be corrected, nor that AI replies will be accurate.

12. Limitation of liability

To the maximum extent permitted by law, in no event will Leadmeadow, its operators, contractors, or suppliers be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of the service.

Leadmeadow's total cumulative liability to you for any and all claims arising out of or relating to these Terms or the service will not exceed the greater of (a) the total amount you have paid Leadmeadow in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limits may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold Leadmeadow harmless from and against any claim, liability, loss, or expense (including reasonable legal fees) arising from: your breach of these Terms; your misuse of the service; your messaging activity; or your violation of any law, regulation, or third-party right (including Meta's WhatsApp Business policies).

14. Changes to these Terms

We may update these Terms when the service changes or when the law requires it. The “Last updated” date at the top will reflect the most recent revision. Material changes will be communicated by email to active accounts before they take effect. Continued use of the service after changes take effect means you accept them.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which Leadmeadow is operated, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the service will be resolved in the courts of that jurisdiction, except where mandatory consumer protection law gives you the right to sue in your home jurisdiction.
